Terms of Service

Between

These Terms of Service (‘Terms’) govern the contractual relationship between you the Client (‘Client’) and Grace Agosta (‘Developer’), a web consultant providing digital marketing services.

This sets out the terms under which Developer agrees to provide and Client agrees to accept and pay for the services described in the Work Agreement (‘Agreement’) outlined in the invoice submitted by email.

  • The website will be successfully created/developed/updated, tested and delivered;
  • Development will be documented, analyzed, debugged and improved.

Fees

Client agrees to pay the fees in the amounts and manner set out in the payment schedule of the invoice.
The total balance is to be paid upon completion of the project, including any additional work applied outside the arranged the Agreement.

Additional Work

Applies to work outside of the original Agreement and added to final instalment at the Developers hourly rate.

Payment

Accepted methods of payment :

  • Interac e-Transfer (Canadian Bank Accounts only)
  • Credit Card (via PayPal or Square)
    Invoice will be submitted via third-party service
    * Subject to an additional 2.9% processing fee
  • Cheque, Money Order or Bank Draft
    * Project will be delayed until payment is received and cleared
  • Wire Transfer

Content and Material

Unless otherwise arranged, Client is responsible for providing any imagery, and textual content.
* Proof-reading and editing of textual materials is not included.
Any free stock imagery used will require accreditation to the service provider which will be placed in the footer of website.

Domain & Hosting

Client is responsible for domain and hosting purchase.
For existing websites, login access will be required to the hosting / server and domain registrar.
If registration and setup is include in the Agreement, account ownership including registration and login will be transferred upon completion of the website.

Renewal rates of third-party providers will be Clients responsibility to keep site live and active;
In the event that Client fails to renew the hosting service, Developer shall restore the website to the last backed up files available.

Work Hours

Developer operates during regular business hours on weekdays from 10 am to 6 pm

Communication Channels

Developer communicates primarily via email.
Text message responses are pending availability during regular business hours.

Scheduled calls may be arranged with a confirmed date and time between Developer and Client.
Call may include phone, conference, or video.

Weekends and After-Hours Communication

Pending arrangement, non-emergency communications outside regular business hours, including weekends, will be addressed on the next business day.

Emergency Communication

Urgent matters requiring immediate attention outside regular hours, shall be filtered (reviewed) by Developer who will respond promptly and assist with the matter.

In-Person Meetings

May be arranged upon mutual agreement, but due to Developers location and time constraints, video calls are preferred whenever possible.  If an in-person meeting is deemed necessary, Client agrees to pay for travel time billed at the hourly rate, including all associated travel expenses.

Project Completion

When final installment has been received, Developer shall provide Client with all login credentials (where applicable), including but not limited to:

  • Website Admin
  • Domain Registrar
  • Hosting Provider
  • Social Media Accounts
  • Third-Party Services

Deliverables

The Deliverables consist of the web site and all code, databases, modules, objects, classes, packages, in-line comments, user interfaces, design documents, test plans and scripts.
This shall include, but not limited to related documentation and media procured or prepared by Developer for Client under the Agreement, and any other items necessary for the operation of Clients web site (other than third-party operating software, third-party networking software, web browsers and hardware), including all changes to the code.

Training and Support

Available at no cost, post-development (upon completion of the website).

Support Duration :     2 Weeks

Includes answering any questions, making updates and changes as per Work Agreement of invoice.
* Additional work or future work shall be quoted and either added to final instalment, or paid separately.

Cancellation & Termination

In the event the project is cancelled, Developer will summarize the hours invested into creating the deliverables in a detailed report, where the Client will be billed by the hourly rate.

Developer shall deliver to Client all the deliverables existing or partially completed upon cancellation of the Agreement.
Should the summarized payment not made and the Client ceases communication with Developer, all account login credentials shall be held until outstanding balance has been made.

If no communication is not made within the active period of the domain and hosting services, courtesy email reminders will be made until the expiry date(s), to which the services are no longer active and the project is then terminated.

Dispute Resolution

If a dispute arises with respect to any matter out of this Agreement, and the parties are otherwise unable to resolve the matter, the project will automatically become cancelled and/or terminated.

Term of the Statement of Work

Upon receipt of first installment, Developer and Client confirm to the agreement of the terms set out within.
